Romanie is a retired corporate lawyer with a particular focus on corporate transactions in the mining and resources sector. Romanie is admitted to practice in New York, England and Wales and Western Australia. Romanie’s work primarily involves providing advice regarding compliance with the Corporations Act 2001, the ASX Listing Rules and drafting documents that comply with such requirements. This includes matters involving fundraising (initial public offerings, placements, rights issues, exempt offers, prospectuses), takeovers, schemes of arrangement, notices of meeting, financial reporting, ASX announcements, listing on the ASX, financial services, directors’ duties, annual general meetings and related party transactions. She also has had experience in drafting commercial documents such as shareholders’ agreements, joint venture agreements, share purchase or subscription agreements, employment agreements, and deeds of settlement and release.
